Jabczenski v. Southern Pacific Memorial Hospitals, Inc

In Jabczenski v. Southern Pacific Memorial Hospitals, Inc., 119 Ariz. 15, 20, 579 P.2d 53, 58 (App. 1978), the Court acknowledged the nonliability of corporate directors for a tort committed by the corporation unless they participated in or acquiesced in or were "guilty of negligence in the management and supervision of the corporate affairs causing or contributing to the injury." The Court also held that "a director who actually votes for the commission of a tort is personally liable, even though the wrongful act is performed in the name of the corporation." Id.
