Cal-State Business Products & Services v. Ricoh

In Cal-State Business Products & Services v. Ricoh (1993) 12 Cal.App.4th 1666, the court was dealing with an "exclusive dealership" agreement, which contained a forum selection clause and an integration clause. As here, the plaintiff alleged fraud in the inducement of the contract. The court, squarely confronting this issue stated, "The entire gist of the complaint in the present action relates to allegedly false promises made in the course of the negotiations (that culminated in contracts with integration clauses) and the subsequent conduct of the relationship between the parties created by the contracts. All the causes of action are consequently within the scope of the forum selection clause. ( Id. at p. 1677.)
