Empire Steel Corp. v. Superior Court

In Empire Steel Corp. v. Superior Court (1991) 56 Cal.2d 823, the parent corporation continued to fund its insolvent subsidiary and, despite knowing the subsidiary's financial condition, caused the subsidiary to enter into a contract with an unsuspecting third party. The Supreme Court "found jurisdiction existed because the parent had engaged in certain acts, related to the cause of action brought by the plaintiff and within the context of the parent's relationship with the subsidiary, which themselves constituted sufficient minimum contacts of the parent with California for jurisdiction to attach."
