Sharp v. Big Jim Mines

In Sharp v. Big Jim Mines (1940) 39 Cal.App.2d 435, the trial court correctly ruled that a purported assessment of corporate stock was void for lack of a quorum at a certain stockholders meeting. The court further enjoined any future assessment of the stock until specified conditions were met. Since the remedy exceeded the scope of the pleadings in granting relief from future assessments, which asked only for relief from the assessment made ( id ., at p. 442), the Court modified the judgment to conform to the pleadings and findings.
