In W. Palm Beach Police Pension Fund v. Gottdiener, 2014 WL 5454671, at 2-3 (Sup Ct, NY County 2014) (Friedman, J.) Justice Friedman approved a disclosure-only settlement where "it was undisputed that plaintiff d[id] not have a strong likelihood of success on the merits of its claim for money damages." "In fact, in Gottdiener, plaintiff represented that it had no compelling evidence to suggest it could have overcome the presumptions of the Business Judgment Rule.'" Id. (quoting admission from plaintiff's brief). However, in approving the settlement, Justice Freidman explicitly noted that "the supplemental disclosures provide benefit to the shareholders." Id.
