Temperature Sys., Inc. v. Bill Pepper, Inc

In Temperature Sys., Inc. v. Bill Pepper, Inc., 854 S.W.2d 669, 672-674 (Tex. App.-Dallas 1993, writ dism'd by agr.), TSI, was a foreign corporation that was a distributor of heating, ventilation, and air conditioning (HVAC) equipment. TSI did not sell equipment in Texas, advertise or solicit business in Texas, or have any offices, agents, representatives, property, or any other assets in Texas. Bill Pepper, Inc., an executive search and recruiting firm, was a Texas corporation. Pepper sued TSI for breach of contract related to a search for candidates for sales representatives positions. Temperature Sys., 854 S.W.2d at 671-72. This Court concluded there was no specific jurisdiction but determined TSI did have a general presence in Texas based on evidence that: (1) from 1987 to 1990, TSI purchased almost $ 500,000 worth of equipment from Texas residents; (2) TSI maintained a distributor relationship with Carrier distributors in Texas. See id., 854 S.W.2d at 676.
