Riblet Prods. Corp. v. Nagy

In Riblet Prods. Corp. v. Nagy, 683 A.2d 37 (Del. 1996), the Supreme Court of Delaware declined to hold the majority stockholders of a Delaware corporation liable for violating a fiduciary duty to a minority stockholder who was also an employee of the corporation with respect to issues involving his employment. The Riblet court recognized that, while the majority stockholders may have owed a fiduciary duty to the minority stockholder, the minority stockholder did not allege that his termination amounted to a wrongful freeze-out of his stock interest (Riblet at 40.)
