Prince v. Elm Inv. Co., Inc

In Prince v. Elm Inv. Co., Inc., 649 P.2d 820 (Utah 1982), the Supreme Court of Utah held that a transfer of property from a sole owner to a partnership in which the owner was one of the partners was a sale for purposes of asserting a right of first refusal. Prince, 649 P.2d at 823. The Utah court pointed out that although the partnership in Prince included the former owner, management decisions of the partnership had to be made unanimously.
